RE: Breckenridge - Meeting for the 2nd mortgage holders

Ken,

There will have to be a very concerted effort to keep the fees under control or the whole exercise will only be about fees and not about securing the 2nd mortgage holders. I am aware that there is work to be done but the billed time seems excessive to me. This process started as an exercise to return some of the 2nd mortgage holders funds. If these funds are to be eaten up in fees then why bother. You having the fees laid out for the 2nd mortgage holders to see is very important. This email will be forwarded to them so they can review it prior to the meeting. This will be a determining factor in their decision.

I have inserted comments below.

Regards,

Paul

From my Monday emails 2.41 PM

1.       Please explain again about the loan & how this was set up to maintain priority position etc and how the accounting has been done  ( although this should not affect the shortfall to the second at the end of the day)  –

#####Terry can better explain the registration of the mortgages  and Richard Hall has provided the accounting.  There was 1 year on interest paid on the 2nds and I will verify that.

2.       Also explain again the third mortgage – original amount  that it was suppose to be, when  and how was it to be repaid,  and what happened - ?

#####We were not involved in the 3rd mortgages.

Second email -  6.22 PM

DRAFT  Breckinridge – trustees report to the creditors on the proposal

History and background

“Breckinridge”  is a 71 unit townhouse condominium  project located at 35 Breckinridge Rd Kitchener Ontario.

The project was originally developed, as was operated as a rental project, that ran into financial difficulties due to ???????????

#####The developer/promoter walked away from the project.

In 200Z?? . individual units were sold off and they were purchased by either individuals – who either occupied the premises as an owner, or rented them out – some of which owned single units, a few own two or three or four and then there was three  groups  that purchases  10, 21, and 20 units respectively.

In 2008?? Equitable Trust that held mortgages on these three groups of units started power sale proceedings. Equitable sold off the tang unit package however arrangements were made with a 21 and 20 unit owners, both of which now have filed the proposals which we are now reporting on.

The plan was to continue renting the units, renovate units when they became vacant,  and to sell them off overtime to individual owner occupiers who would pay the most for the units.

However due to previous mismanagement of the project there were large arrears in both condo fees nor had there been a reserve fund set up. As such any sales of the units, would have been at very low prices.

It should also be noted that the project has electric heating which is very expensive, and also a drawback with respect to any potential sales price.

The second mortgagee’s then also issued power of sale proceedings, advanced funds to the project to pay for the Condor rears and ?????? . , however ???????????? WHY  ??????  also ran into financial difficulties, and was not able to make all the payments due to Equitable Trust on their first mortgage.

##### One of the 2nd mortgage holders advanced approx 1.2M in an attempt to see the project through. Part of this was loaned to the condo corp to fund until until units are sold and the past due assessments paid enabling repayment of the loan.

In February 2010, Equitable Trust sent out notices of “Attorment of Rent”  to all the tenants and as such all-cash flows to the debtor companies was then halted. The companies then each filed a “Notice of Intention” (NOI )   to make a proposal under the Bankruptcy and Insolvency Act (BIA) , in hopes of staying the attornment of rents , and allowing the companies  to continue to receive its rental revenues and attempt to obtain refinancing for the properties, and/or make new arrangements with Equitable Trust.

Equitable Trust was not interested in any further negotiations. Equitable Trust also indicated that it had sent out notices under section 244 and the BIA in 2008, which in their opinion allowed for them to continue with the attornment of rents- as their notice had been sent out more than 10 days prior to the filing of the NOI. A law firm was engaged to deal with Equitable Trust on this matter,  however    Equitable Trust indicated that it would not agree or consent to any stay of proceedings, nor any refinancing or interim financing,  unless it was behind their first mortgage position.

Since that time the proposal trustee has contacted numerous lenders and is working on obtaining a commitment of a new first mortgage that would be large enough to take out Equitable Trust and provide financing to carry out the renovations required and everything else to sell off the unit’s belonging to the debtor company in order to generate a larger recovery for the second mortgagee’s.

The proposal calls for the unsecured creditors to receive five cents on the dollar of their unsecured claim.  Although this is not a lot, without the proposal going forward, refinancing or interim financing would seem almost impossible, and the shortfalls to be suffered by the second mortgagee who will be the largest unsecured creditor under any scenario –would all be larger in a bankruptcy  scenario  as that  would leave the units all in the hands of Equitable Trust who would proceed with its power as sale proceedings, in which Equitable Trust may choose to sell off all the units as one “package”  under their security- which would  greatly reduce the realization and increase any shortfall to the second mortgagees.

#####A further explanation of how 2nd mortgages are reduced to unsecured creditors is required. If the 2nds are being included in a proposal that would with a target of 5 cents/$1.00 then there there is little incentive for the 2nds to fund the process/ What am I missing?

As such it appears that the both beneficial way for all to proceed would be to accept the proposal, continue to attempt to obtain the refinancing and have the second attempt to sell  off the units as originally planned in 2008.

Ken,

I fully understand the requirement for funding to secure the loan but 100K. How did we get to that number? 15K to secure loan and an amount for you firm and Terry. But an additional 85K.

Please send me a statement of your billing thus far and let's take a fair and reasonable look at this. This is about paying good value for good work.

I am looking to recommend this process but they will see right thru this.

Paul

We are proposing that all 2nd mortgagees meet together on Wednesday March 31, 2010 at 7pm at a location in  the 401 /404 area (location to be determined) in order to bring everyone up to date with this matter, and to discuss your various options and answer any questions you may have – as it appears funding will be required in order to maximize your recovery as per our previous emails.

It would appear that, at minimum, $100,000 will be required for legal, monitoring, management  and lending fees  – and that is based on the mortgage commitment over $3.8M – or the funding may have to be more.

We also intend to have Richard Hall from Canlight and Terry Reiber who has been acting for you, in attendance.

I am assuming that you are referring to the loan by Janet Hilson in addition to her 2nd mortgages. If so, Richard has that number.

Richard, can you provide that number. She is owed funds by the condo corp which is a separate matter. These funds will be repaid as the units are sold being and the condo corp will identify these amounts when providing the status cert's.

Dear All,

I need to hear from you as to what is happening, immediately.  As I understood it, the last plan was to seek an extension of the time to file the formal proposal.  I understood Mr. Tessis was going to have Alan Lipman of Lipman Zener Waxman retained to handle this.

I am also concerned that the cash flow statement does not refer to the litigation to which Evans & Sons is a party.

I have no note in my database on this file as to Equitable's having issued a notice under s. 244 of the BIA.  This can mean one (or possibly more) of several things:  (a) none was actually served; (b) it was not received by me/my clients; (c) it was received and not adequately recorded etc.  I will have the file examined in detail to sort this out.  In the meanwhile, if you have any proof of service, please advise.

I am extremely concerned about word of the s. 244 notice.  The very essence of the plan for the proposal was the second mortgagee's plan to organize thereby an orderly sale of the properties.  If this cannot be done because Equitable has the right to rely on the s. 244 notice, the whole purpose of the notice of intention is lost with resulting in huge potential adverse consequences to my clients.

I would therefore propose that we immediately meet with Equitable to see if Equitable is amenable to an orderly sale while the rents are used to maintain its mortgage.  If Equitable refuses, and  if Equitable cannot be forced to comply given its . 244 notice, I would like the proposal withdrawn.  This would appear possible on motion, a fortiori  on consent of the creditors: Greey, Re; 1995 CarswellOnt 940; 36 C.B.R. (3d) 187; Ontario Court of Justice (General Division), In Bankruptcy; October 25, 1995.

I hope to hear from you this morning.

Dear Mr Adler -

1.       RE Stay - - we had asked and were advised that Equitable had not served BIA Sec 244 notices -  but they had in fact in 2008 - and although we may be able to fight this – it would be costly and we most likely will be unsuccessful in any case as Equitable will  oppose any motion - which they indicated they will.

2.       Re cash flow – I apologize you are correct –it should have read $300,000 per  pool as the amount is indicated on  the  cash flow – “assume sell out of units –in 18 months ” item  4 (2 pages) & 5  schedules. On item 5 it indicates that $39,710.10  would be the maximum shortfall – but I looked at the shortfall before sales proceeds (the bottom line on the 2 pages of item  4 – which shows the running shortfall before sales proceeds –which I based the amount of $300,000 required per pool.   Feel free to call Richard Hall for any more information

3.       It would appear the third and second mortgagees, and lenders and also any guarantors of any of the mortgages – perhaps even Equitable (if they have a shortfall ) could  be the losers in this matter – and the owners of the companies would also lose as the underlying properties will be gone.

If you have any questions please call

Ken,

Thanks for the update.  However, I don't understand the need for "$600,000 per pool" based on the figures from Richard Hall.

I'm wondering if it would make sense to hold a mass meeting of all relevant parties -- esp. including Equitable if we can get them to come -- to see where this is going.

In the meanwhile, it seems to me that the party to be most injured at this time by a failure of the proposal will likely be the second mortgagees.  I would have thought that the stay imposed by the notice of intention under the BIA would have trumped the attornment of rents by Equitable.

I look forward to discussing this with you further.

I spoke to Richard Hall  today to discuss a few issues-

1.       As  Equitable is collecting rents he with respect to the pooled rental units,  he has nothing to really manage on behalf of the rental pool at this time

2.       With respect to the sales of the units – no  for sale signs have gone up.  and possibly that Equitable  is not familiar that  his related sales operations-  which had been “planned” to be used in selling the units

3.       No funds are available to  pay him from as there are no rental  revenues

4.       He is concerned for the rental pool that Equitable will not maintain the units or do anything other than what is legally required    - which will impair the value of the rental units and …

As condo property manager

5.       he has concerns as to #3 above as it will reflect on the whole project

6.       He has concerns as to the lien rights and priority re condo fees if in arrears – If Equitable does not pay

7.       How or who will now pay the superintendent ass before the amount was split between all three entities – the 2 rental pools & the condo  corp.

We told him that we have no objection to him speaking  to Equitable (who still has not formally said “no”   to providing the financing in second position:

i.                     Explain his concerns

ii.                   Provide the sales “plans” -  for maybe Equitable will agree to allow some signs to be put up to evaluate the “action” that occurs – which may assist them in their decision to fund or not

Finally it would appear that without obtaining the financing of about 600.000 per pool -  we will not be able to keep the proposals going, and /or to make some arrangements with Equitable to allow some time to allow us to obtain a higher realization to lessen the losses by the mortgage holders.

Regards to all

Dear Ken,

Thank you for your response.  I agree with you completely that there is no particular way out of this mess without a refinancing.  The only possible source for the costs associated with this refinancing is the second mortgagees.  They are also the ones who will most immediately (and maybe exclusively) benefit.  I think it is reasonable, in exchange for my client's cooperation, that we at least reach an understanding on that point and the concept that the proposal process will be used, not merely to destroy Evans & Sons, but to achieve the maximum recovery for all creditors.  This would require an understanding that, if we file "just any" proposal now to meet the deadline, there would be a serious process of refinement and possible amendment before the proposal is finalized and put to a vote.

A response on this point from Messrs Ivany &/or Reiber is highly desirable.  I will certainly cooperate in meetings etc. but next week is impossible.

Subject: RE: Breckenridge Proposal

1.            Re the stay –
i.              Equitable advises that they will move to lift the stay if the trustee or companies tried to enforce it - in any case and based on the history as we discovered - as this matter moved forward – it would appear that they have validity in their position if they opposed the stay.

ii.             We  and our lawyers also believe that even if they were sent in 2008 they most likely are too old, or the old default was cured -  to be considered effective as against the NOI- however …….

iii.            there is no positive – or minimal cash flow in any case -   which if  the companies still collected the rents – would also require that the property manager be paid,  and the trustee in the proposal to monitor all cash receipts and disbursements – as such fees and cash outflows are actually reduced if Equitable collects the rents.  (Equitable actually made this “part” of the administration much easier)

iv.           The goal here is to obtain refinancing as no other plan will seem to work .

2.            Re Proposal  -

The wording is almost irrelevant at this time – as the seconds (with the lawyers in each proposal ) should be in control the votes – assuming 2 voting for in excess of 1 million dollars (their anticipated shortfall ) as – Equitable will most likely file as fully secured and hence no vote , and the only opposition  may come from the third – but they will be only one vote and not over 33.33% of the voting in dollars – as such the proposal can be amended before or at the meeting.

3.            Extension

It is more practical  to file a proposal and have creditors – by dollar vote – which the seconds control  - request an adjournment as no court applications (and one is London or Windsor court ) will have to be made/ Also the application would now have to be booked and all material prepared to be heard this Friday

I hope this answers  your questions etc

Subject: RE: Breckenridge Proposal
Importance: High

Dear All,

This is in response to the most recent emails of Ms. Bowles of Ken Tessis' office and of Mr. Ivany.

On behalf of Ms. Evans, I have to express very significant concern at the present turn of events.  So far as I can establish, Evans & Sons did not receive a s. 244 notice under the Bankruptcy and Insolvency Act from Equitable.  If this is the case, then Equitable is bound by the stay and a refinancing can be forced on Equitable.

However, even if a section 244 notice had been served on Evans & Sons, with cooperation we can still achieve the desired objective without disastrous consequences to Evans & Sons or any other party as, under the Mortgages Act, a refinancing can be forced on Equitable.

I therefore strongly suggest that the relevant parties -- and here I am particularly referring to the second mortgagees -- agree to act in their best self-interests and cooperate to an effective interim resolution of this matter.

The entire concept of preventing Equitable from selling in bulk, one way or the other, was always dependent on further funding by the second mortgagees -- if only in respect of the proposal process.  I know nothing about Lakeshore but it is clear that Evans & Sons has absolutely no means to fund further opposition to Equitable or the replacement of the first mortgage.  Evans & Sons agreed to make the proposal at the insistence of the second mortgagees and specifically to assist the second mortgagees in gaining time to do what is necessary to sell the units on an individual basis.

For a very considerable time I have been seeking details as to what has happened with the historic rents on the Evans & Sons properties before the Equitable notices of attornment and still have not received this information.  The real concern from my client's point of view, is whether rental  money produced by its units has been used for the benefit of units owned by others either by funding renovations or making mortgage payments.

This will have to be clarified in due course.  In the meanwhile however, if Equitable is to be prevented from a sale in bulk, the first mortgage must be refinanced.  I would expect that even if it costs the second mortgagees some few thousands in order to achieve this, they will enjoy a very significant reduction in the amounts owing to them on the sale of the properties even after repayment of the amount advanced.  If the costs involved are even $21,000 -- the second mortgagees stand to benefit by far more than $1,000/unit if the units sell for anything approaching their individual fair market value (guessed to be about $140,000) instead of the likely Equitable bulk sale value (guessed to be about $95,000).

I would like to suggest that the Evans & Sons proposal be redrafted so that it provides that:

-- a series of new first mortgages will be sought (from one lender) to replace the Equitable mortgage such that units can be sold on an individual basis and in the meanwhile the rents can used to service the interest on the first and second mortgages and other priorities

-- the second mortgagee will advance the necessary costs related to that process and add the amounts to the second mortgage principal

-- the units will be sold as soon as commercially reasonable and the proceeds used to pay the secured creditors as far as possible

-- the litigation against Campagnaro will continue

-- the proceeds of the litigation (if any) will be used first to pay the legal costs and the balance will be divided pro rata among all unsecured creditors

It will not be acceptable to me simply to allow the proposal process to fail by non-filing.  Either we file or we get an extension of time.

I would appreciate hearing from you as soon as possible.  In particular, I would appreciate hearing from Mr. Tessis as to the practicalities involved in obtaining an extension of time for the filing of the proposal.

Mr. Ivany:  Please advise if we should (or should not) continue copying emails to Mr. Reiber.

Subject: RE: Breckenridge Proposal

Evelyn et al,

The intent of involving a receiver/trustee was to seek a solution whereby the Breckenridge townhouses could be sold individually and not as two groups of 21 and 20 as Equitable, the 1st mortgage holder intends to sell them. It appears that forcing Equitable to sell them individually is a more complex and costly process that anticipated and that Mr Tessis is seeking a solution whereby  a 'new' lender will take over the Equitable 1st mortgage and then allow the individual sales. In order to achieve this goal, there are cost associated with the financing. I would recommend that Mr Tessis call a meeting of the creditors, the purpose being to better explain the process and to determine the level of interest in his solution.

The individual market price is estimated to be 140,000. Equitable requires a value in the range of 75,000 to 80,000 to satisfy their 1st mortgage. The spread, less costs involved, does appear to warrant serious consideration of Mr Tessis's solution by the creditors.

 Regards,

Paul

Ken would like all to be aware that we have been advised that Mr. Reiber does not appear to be further retained in this matter and Mr. Ivany has advised that it does not appear that the second mortgagees would be prepared to provide additional funding for the process.

As such, it appears that there are no funds to pursue the refinancing/mortgage commitment which would require approximately $15,000.00.

At this stage, it appears that we have two options:

a.       File a proposal for each entity and continue attempts to pursue financing;  or

b.      Allow the proposal process to fail (by not filing proposals within the time required by the Act – being this coming Sunday) which will result in the automatic deemed bankruptcy of each entity effective Monday.

Please contact Ken with your comments or instructions at ktessis@soberman.com or 416-963-7120.

Thank you.
